Duties

The responsibilities of a company secretary cover a wide range of areas, including administration such as personnel management, management of the company’s accounts and organization of annual general meetings of shareholders, reporting on the company’s performance, ensuring that the declaration and disclosure of interests of the board of directors and management are in compliance with the law, and provide professional advice on corporate governance practices. The company secretary not only works closely with the directors, managers and shareholders of the company, but also communicates with the different government departments that regulate the operation of the company. The main duties of the secretary are as follows:

  • Responsible for assisting the company in all aspects of company secretarial and compliance work
  • Preparation of interim / annual reports, circulars, bulletins and handling of administrative matters
  • Assist in organizing board of directors/shareholders meetings, including preparation of meeting papers and preparation of reports on a regular basis
  • Maintain an effective documentation system for the company
  • Assist with clerical and other assignments and other special assignments
